Smarterhome.ai VIP Membership Program Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Smarterhome.ai VIP Membership Program (the “Program”), offered by Smarterhome.ai and its affiliates (collectively, “Smarterhome.ai,” “we,” “us,” or “our”).
These Terms are separate from and in addition to the Smarterhome.ai website Terms & Conditions (https://smarterhome.ai/terms-conditions/), which also govern your use of our services. The Smarterhome.ai Privacy Policy (https://smarterhome.ai/privacy-policy/) is incorporated by reference into these Terms.
THIS IS A LEGALLY BINDING AGREEMENT. PLEASE READ THESE TERMS CAREFULLY, INCLUDING THE MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER IN SECTION 7.
YOUR ACCEPTANCE OF THESE TERMS
You accept and agree to be bound by these Terms, and our Privacy Policy, by taking any of the following actions:
(i) Digital Acceptance: Checking a box, clicking a button, or taking any other affirmative action on a digital platform (such as the CheckoutChamp registration page) indicating your acceptance; or
(ii) Verbal Acceptance: Providing your express verbal consent, confirmation, or agreement to a Smarterhome.ai agent or representative (for example, during a recorded telephone call) when enrolling in the Program.
By accepting, you represent that you are at least 18 years of age and have the legal capacity to enter into this Agreement.
1. THE VIP MEMBERSHIP PROGRAM
1.1. Program Benefits. The Program is a free subscription currently offering enrolled members (“Members” or “you”) access to certain benefits, which may include:
- The “VIP Savings Card”: Access to a third-party discount and savings portal (e.g., “SmarterSavings” or “Corporate Plus Club”) offering deals from various merchants.
- The “VIP Concierge Service”: Access to customer support and informational services provided by our call center agents.
1.2. Cost and Future Modifications. The Program is currently provided at no charge ($0.00). We reserve the right, in our sole discretion, to:
- (a) Modify, add, or remove any benefits offered under the Program at any time without notice.
- (b) Offer new, separate, or premium tiers of service for a fee (e.g., “SmarterTech”).
- (c) Begin charging a fee for the Program, or any of its benefits, at any time. We will provide you with reasonable notice (e.g., via email) of any new fees, in which case you will have the option to cancel your membership.
2. THIRD-PARTY BENEFITS AND DISCLAIMERS
2.1. Third-Party Services. You acknowledge that certain benefits, such as the “VIP Savings Card” (also known as the “SmarterSavings” portal), are provided by independent third-party partners (such as Abenity, Inc. / Entertainment®), not by Smarterhome.ai.
2.2. Acceptance of Third-Party Terms. By accessing, registering for, or using the “VIP Savings Card” benefit, you also agree to be bound by the applicable third-party’s terms and privacy policy, which are hereby incorporated by reference:

2.3. Disclaimer of Liability. Smarterhome.ai does not control, endorse, or assume any responsibility for these third-party services, offers, or websites. Your access to and use of such third-party services is at your own risk and is subject to the third party’s own terms and conditions. We are not liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such third-party offers.
3. DISCLAIMERS AND LIMITATION OF LIABILITY
3.1. “AS IS” AND “AS AVAILABLE.” THE PROGRAM, AND ALL BENEFITS PROVIDED THEREUNDER (INCLUDING THE “VIP CONCIERGE SERVICE”), ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. SMARTERHOME.AI DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
3.2. LIMITATION OF LIABILITY. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SMARTERHOME.AI, ITS AFFILIATES, OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE PROGRAM.
4. CONSENT TO BE CONTACTED (MARKETING & COMMUNICATIONS)
4.1. EXPRESS WRITTEN CONSENT. BY ACCEPTING THESE TERMS, YOU PROVIDE YOUR PRIOR EXPRESS WRITTEN CONSENT for Smarterhome.ai and its family of affiliated companies, including SmarterHome Security, LLC, Smarter Home Solutions, LLC, and any other and all current or future associated business partners, brands, or entities (collectively, “Associated Companies”) to contact you for marketing, sales, promotional, and other commercial purposes.
4.2. Channels of Communication. You consent to be contacted at the email address and telephone number(s) you provided during your enrollment (or any number you provide to us later), including wireless numbers. You agree that this contact may be made using any channel, including, but not limited to:
- Telephone (Outbound Calls)
- Automated Telephone Dialing Systems (ATDS) or “Autodialers”
- Artificial or Prerecorded Voice Messages
- SMS/Text Messages
4.3. Purpose of Communication. You understand that these communications are intended to inform you about your membership and to market products and services to you from Smarterhome.ai and our Associated Companies. These offers may include, but are not limited to, telecommunications services, internet services, television services, home security and automation (such as “SmarterTech”), solar, financial products, and other home or personal services.
4.4. No Purchase Necessary. Your consent to receive these marketing communications is not a condition of purchasing any property, goods, or services. As this is a free membership program, your agreement to these Terms, including this consent, is a condition of enrollment in the Program itself.
4.5. Opt-Out and Data Rates. You may revoke your consent and opt-out of marketing communications at any time by following the instructions in the communication (e.g., replying “STOP” to an SMS message or clicking “Unsubscribe” in an email) or by contacting us directly. Message and data rates may apply to SMS/text messages.
5. TERM AND TERMINATION
5.1. Term. This Agreement begins on the date you accept these Terms and continues as a subscription until terminated by either party.
5.2. Termination by You. You may cancel your free membership at any time by following the cancellation instructions provided to you (e.g., via a self-service page or by calling the “VIP Concierge” line).
5.3. Termination by Us. We reserve the right to suspend or terminate your membership and access to the Program at any time, for any or no reason, in our sole discretion, without notice or liability.
6. STATE-SPECIFIC PRIVACY RIGHTS (CCPA)
You acknowledge that the collection and use of your personal information in connection with the Program is governed by the Smarterhome.ai Privacy Policy (https://smarterhome.ai/privacy-policy/).
Residents of certain states, such as California (under the California Consumer Privacy Act or “CCPA”), may have additional rights regarding their personal information. These rights may include the right to know what information is collected, the right to delete information, and the right to opt-out of the “sale” or “sharing” of personal information.
Please refer to our Privacy Policy for a full description of these rights and for instructions on how to exercise them, including how to access our “Do Not Sell or Share My Personal Information” link.
7. GENERAL PROVISIONS
7.1. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
7.2. DISPUTE RESOLUTION BY BINDING ARBITRATION
PLEASE READ THIS PROVISION CAREFULLY. IT PROVIDES THAT ANY DISPUTE MAY BE RESOLVED BY BINDING ARBITRATION. ARBITRATION REPLACES THE RIGHT TO GO TO COURT, INCLUDING THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR SIMILAR PROCEEDING.
(a) ANY DISPUTE, CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PROGRAM, OR THE BREACH THEREOF, SHALL BE SETTLED BY ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES, AND JUDGMENT ON THE AWARD RENDERED BY THE ARBITRATOR(S) MAY BE ENTERED IN ANY COURT HAVING JURISDICTION THEREOF.
(b) THE ARBITRATION SHALL BE CONDUCTED IN ORANGE COUNTY, CALIFORNIA, OR ANOTHER MUTUALLY AGREED UPON LOCATION.
(c) CLASS ACTION WAIVER: YOU AND SMARTERHOME.AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. FURTHER, UNLESS BOTH YOU AND SMARTERHOME.AI AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
7.3. Entire Agreement. These Terms (and the incorporated Privacy Policy and website Terms & Conditions) constitute the entire agreement between you and Smarterhome.ai regarding the Program.
7.4. Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
7.5. Changes to Terms. We reserve the right to modify these Terms at any time. We reserve the right to modify these Terms at any time. We will provide notice of such changes by posting the revised Terms on our website and updating the “Last Updated” date. Your continued use of the Program after such changes constitutes your acceptance of the new Terms.
